You agree to the following Mancebo Terms and Conditions (the "Terms and Conditions"), in their entirety, when you: (a) access or use the Site; (b) register as a Mancebo user ("User") at the Site or App, which provides you with access to some or all of Mancebo's activities, content, products, services, and tools (collectively, the "Mancebo Services"), as well as various interactive features and services (collectively, the "Interactive Services" and together with the Mancebo Services, the "Services"); and/or (c) register for one of our sweepstakes, promotional offers or contests, as offered from time to time (the "Promotions").

IF YOU ARE A PARENT OR GUARDIAN AND YOU PROVIDE CONSENT FOR YOUR CHILD TO REGISTER WITH THE WEBSITE, OR IF YOU ARE AN EDUCATOR WHO IS ACTING AS THE AGENT OF A PARENT OR LEGAL GUARDIAN, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN RESPECT OF SUCH CHILD'S USE OF THE WEBSITE.

The Mancebo Privacy Policy ("Privacy Policy"), other Mancebo operating rules, policies, price schedules (if any), Promotions rules and additional supplemental terms and conditions or documents that may be published from time to time, are expressly incorporated herein by reference (collectively, the "Agreement"). Please review the Agreement carefully. If you do not agree to the terms and conditions contained within the Agreement in its entirety, you are not authorized to use and/or access the Services, Content (as that term is defined below), Promotions and/or Site in any manner or form whatsoever.

Important technology disclaimer

The Content appearing on the Site is provided for informational purposes only. Much of the Content, as well as the User Content (as defined below), appearing on the site is provided by Mancebo and its users. Mancebo shall not be responsible or liable for the accuracy, usefulness or availability of any Content, User Content or other information transmitted or made available by and through the Site and/or Services.

Mancebo is an AI workforce platform, not a professional services provider in your industry. The Content and User Content presented by and through the Site and/or Services is in no way intended as legal, financial, medical, or other professional advice, nor is it a substitute for advice from a qualified professional in the relevant field.

Use of the Site and/or Services does not establish a professional-client relationship. All Content and User Content that is made available by and through the Site and/or Services should be reviewed and confirmed by the appropriate person in your organization before it is relied upon or acted upon.

Scope/modification of agreement

You agree to the terms and conditions outlined in the Agreement with respect to your use of the Services, Content, Site, App, Promotions, User Content and/or any other analyses, research, opinions, reports and/or other information provided by or through same (collectively, "Mancebo Offerings").

Mancebo may, without notice, update, revise, or change the Agreement, and the scope and functionality of the Mancebo Offerings, in whole or in part, at any time. The latest Agreement will be posted on the Site, and you should review the Agreement prior to using the Mancebo Offerings.

Age requirements

The Mancebo Offerings are not available to: (A) any users previously suspended or removed from the Site or Services OR (B) ANY PERSONS UNDER THE AGE OF 13.

Registration/account/fees/billing

Mancebo may invite visitors to register on the Site or App to become a Mancebo subscriber. You are responsible for maintaining the confidentiality of your User account, user name and password and for restricting access to your computer.

To access and use some of our Services you will need to pay the applicable Subscription Fees described on the Site. We reserve the right to change, suspend, or terminate any account, including any feature, content, or service at any time for any reason.

Mancebo agrees that it will terminate any paid subscription to Services upon notice from the User.

Payment policy

Access to some sections of the Mancebo App is free, but we charge for some of our products and services on a subscription fee basis.

Subscription plans and payments

We offer several types of individual plans and business plans. Most of our subscription plans renew automatically. If you purchase a monthly plan, you will be charged at the beginning of each month; if you purchase a yearly plan, you will be charged at the beginning of the term.

Refund policy

• Subscriptions are generally non-refundable after the 30-day money-back period.
• The 30-day money-back guarantee applies to your first month only.
• Workshop or training enrollments are non-refundable unless otherwise stated.

User content and interactions

As part of your use of the Site and Services, you may upload, post, or distribute User Content. You hereby grant Mancebo an irrevocable, nonexclusive, transferable royalty-free worldwide right and license to use the User Content on the Site and to promote and advertise the Site and Services.

You are solely responsible for your interactions with other Site users. Mancebo reserves the right, but has no obligation, to monitor disputes between you and other Site users.

Prohibited conduct

As a User, you agree not to:

• Display confidential information of any third party
• Impersonate any person or entity
• "Stalk" or otherwise harass any person
• Engage in unauthorized advertising or commercial solicitation
• Transmit spam or junk email
• Harvest or collect personal information without consent
• Post copyrighted material without obtaining prior consent
• Interfere with or disrupt the Services
• Transmit viruses or malicious code
• Reverse engineer or decompile any portion of the Services
• Use the Services to train competitive AI models without authorization
• Run workloads that violate the rights of others or applicable law

Intellectual property rights

All content and material posted through the Mancebo Offerings is owned by, or licensed to, Mancebo and is protected under applicable copyright, trademark and other proprietary rights. The "Mancebo" name and logo are trademarks of Mancebo AI, Inc.

Indemnification

You agree to indemnify and hold Mancebo harmless from any claims, expenses, damages, suits, costs, and judgments arising out of your use of the Mancebo Offerings, your breach of the Agreement, or your violation of any rights of another individual or entity.

Disclaimer of warranties

THE MANCEBO OFFERINGS ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS. ANY AND ALL WARRANTIES, EXPRESS AND/OR IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW.

Limitation of liability

MANCEBO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES. THE MAXIMUM LIABILITY OF MANCEBO TO YOU UNDER ANY CIRCUMSTANCES WILL BE FIVE HUNDRED DOLLARS ($500.00).

Dispute resolution

The Agreement shall be governed by and construed in accordance with the laws of the State of California, U.S.A. Disputes shall be submitted for resolution by binding arbitration before the American Arbitration Association.

You agree that you will not join any arbitral claim with the claim of any other person or entity, and you will not bring, join or participate in any class action lawsuit.
